LINDA MCMAHON ADDRESSING WCW TV, FIRST WCW PPV DATE AND MORE IN CONFERENCE CALL

A conference call was held this morning with WWF CEO Linda McMahon and CFO August Ligouri to discuss fourth quarter earnings and review prospects for
the coming fiscal year. Among the highlights:

The acquisition of WCW and its contribution to future earnings was discussed. The current plan is to introduce WCW into the WWF with the "invasion" angle that will culminate in the July 22 "Invasion" PPV. There are plans to schedule live WCW house shows, and possibly three or four separate WCW PPVs in the coming year, with the first tentatively scheduled for October. However, there are no plans at this time for separate WCW TV programming, but a separate program might be considered depending upon the success of WCW house shows and PPV events. The reason Linda McMahon gave for not doing a separate show for WCW is that in the current TV and advertising market there may not be sufficient revenues to justify the increased production costs.

Linda McMahon addressed the issue of declining ratings for Smackdown and Raw. She noted that in the last two weeks there had been a slight increase in ratings due to the increased involvement of WCW wrestlers, and that the coming WCW "invasion" angle, as well as new storylines, will give ratings more upward momentum. As to Smackdown, she stated there are plans to go live on Thursday nights which she believes will help ratings, and she blamed wrestling internet sites for "Smackdown Spoilers" that inhibit viewership.

The biggest projected source of revenue growth is in the international market. The recent WCW acquisition will give the WWF greater opportunity to do foreign tours, with a possible WCW tour of Asia in September or October. There are also projected programming and PPV deals in foreign markets which will add significantly to revenues.

"Tough Enough" on MTV was declared a success, with a guarantee of thirteen shows. Linda McMahon also talked about the success of Smackdown Records, which will release a "Tough Enough" album in September and has signed its first band, "Erotica". She also mentioned the success of "The Mummy", and that the prequel "Scorpion King", now being filmed, will earn the WWF a production fee of $2 million and Duane Johnson (The Rock) will receive a flat guarantee of $5.5 million plus a progressive percentage of box office revenues. There was also talk of the WWF co-producing future movie deals with major studios such as Universal and Paramount.

Overall, analysts seemed pleased with the current results, which were better than expected given the huge losses from the XFL. The overall outlook for continued growth is positive with the WCW acquisition and continuing expansion into overseas markets, especially Asia.

Basically, the XFL failure made the WWF tentative to dump too much money into WCW.

Well Clumsy, they are talking about making Monday Night up for grabs for WCW probably for the Main event at Invasion. Also Kurt will be a major player in WCW too.
